MAVM Angels Private Limited (“Mumbai Angels”) is a company incorporated under the provisions of the Indian Companies Act, 1956 with its registered office at #301, Turf Estate, Shakti Mill Lane, Off. Dr. E Moses Road, Mahalaxmi (w), Mumbai – 400 013, India.The site is an online platform that serves as a facilitator amongst the users (“Platform”) which is owned and operated by Mumbai Angels.

This Privacy Policy (“Policy”) sets forth the reasonable security practices and procedures adopted by Mumbai Angels and shall apply to the use and disclosure and sharing of sensitive personal data or information (“Personal Identifiable Information” or “PII”) provided by the registered users of the website (www.mumbaiangels.com) (“Website”), which is owned and operated by Mumbai Angels. This policy is equally applicable on the visitors to the Website. The Policy outlines the various measures undertaken by Mumbai Angels to provide Users with a convenient and safe online/ experience, while maintaining and safeguarding the confidentiality, integrity, and security of Users PII, during storage and transmission through the World Wide Web. This Policy explains how Mumbai Angels protects PII provided by Users through the Website and how Mumbai Angels store and use that information, to deliver the services on the Website.

Please read this Policy carefully, it is subject to change at any time and is advised that Users review this Policy periodically. Any change to this Policy will become effective as soon as it is posted or linked to the revised Policy on the Website.

For the purposes of this Policy, “Mumbai Angels”, "we", "us", and "our" means the site owned and operated by Mumbai Angels and its group companies.

1. NATURE OF PII COLLECTED BY MUMBAI ANGELS

1.1. The registration on the Platform will require Users to enter certain PII, including but not limited to below mentioned information's to help Users with better experience.

  • • Investor or founder or micro venture capitalist;

  • • In case of individual; name, gender, home address, telephone number, date of birth, marital status, email address, emergency contacts or other contact information (including the gender, age, nationality and passport information of any relatives and beneficiaries) and in case of any other entity; name, date of incorporation, registered office address; business details, business sector, email address, contact information etc,; or

  • • affiliations, interests, work history, technical skills, educational background, professional certifications and registrations, language capabilities, or

  • • voicemails, e-mails, password, correspondence and communications; or

  • • password; or

  • • financial information such as Bank account or credit card or debit card or other payment instrument details; or

  • • biometric information; or location of the User in the event, the User given access to the same.

  • • any detail relating to the above clauses as provided to Mumbai Angels; or

  • • any of the information received under above clauses by Mumbai Angels for collecting, receiving, possessing, using, processing, recording, storing, transferring, dealing, handling and disclosing under lawful contract or otherwise.

1.2. Further Mumbai Angels will collect IP addresses for site security and to better understand of how Users behaviour, difficulty of use, Users experience on the Site and the services available on the Platform and shall internally analyse such data in an anonymous form to Mumbai Angels services and effectively Users over all user experience on the Site.

1.3. During the course of Users use of the Site and the services of the Platform or through Users Email ID, it is possible that the Site and Mumbai Angels will receive access to some of Users financial information as may be provided by Users for the purpose accessing the services of the Platform or for accessing any Third Party services through API integration through the Site. These information may include information which may also be in the nature of being KYC information or personal financial information. Wherever such financial information is of the nature that even if disclosed in isolation it will result in identification of the person to whom such data pertains, shall qualify as PII and shall be classified as PII and shall be treated in the same manner and at the same standard as PII will be treated as per this Privacy Policy.

1.4. For quality reasons, we use a feature called "cookie”. Cookies are small files that a site or its service provider transfers to Users computer's hard drive through Users Web browser (if Users allow) that enables the site's or service provider's systems to recognize Users browser and capture and remember certain information. Please remember although we may assign Users browser a cookie, the cookie does not tell us who users are. OnlyUsers can tell us that. Mechanisms related to use of Cookies shall be explained in the Cookie Policy section of the Privacy Policy.

1.5. Any PII that Users may share with any third party by using their API plugged to our Site, even if such is done by using or accessing such API through our Site, shall be the responsibility of such third party service provider or platform to the extent of their data storage and protection at their end. However, this would not affect negatively the security mechanisms Mumbai Angelswill continue to employ to protect Users PII which may be stored with it. Wherever a third party Integrated API is accessed or used through the Site, Mumbai Angelsreserves the right to aid Users in the process by transferring Users relevant Data including PII to auto fill such forms. In such case such forms and information will also become accessible to and available with such Third Party service provider and Mumbai Angelsshall not be responsible for protection of such data in third party custody even though such data in Mumbai Angelscustody shall continue to be protected as per the Privacy Policy. This is a clear exception to the general data protection provided by Mumbai Angelsand shall not be construed as a violation of personal privacy rights as the act of accessing such Third party API or executing transactions through the same shall be construed to be implied consent of such service support from Mumbai Angels to the Usersthus allowing Mumbai Angelsto share such relevant information including PII with such third party.

This Policy does not apply to any information that Users may disclose publicly and which is freely available or accessible in public domain or furnished under the Right to Information Act, 2005 or any other law for the time being in force and such information shall not be regarded as Personal Identifiable Information for the purposes of this Policy. Further, Users PII shall not be disclosed to any third person unless the said third person is required to have the PII of Usersfor the purpose of investment with the Users and/or with Users permission and/or to help investigate, prevent or take action regarding unlawful and illegal activities, suspected fraud, potential threat to the safety or security of any person, violations of the terms and conditions of the this Policy or to defend against legal claims and special circumstances such as compliance with the rules of any stock exchange, subpoenas, court orders, requests/order from legal authorities or law enforcement agencies requiring such disclosure.

Further, any PII disclosed by the Users while connecting with each other through the Platform, Mumbai Angels shall not be responsible and/or liable to treat the same as the PII to be protected by Mumbai Angels

2. MECHANISM OF DATA COLLECTION

We collect information from Users when Users register on our Site, fill out a feedback form or makes a service enquiry or through Email ID provided at the time of registration. From time to time, the Site may also request other PII to provide Users with other benefits of the services of the Site. On all such occasions, Users will have the opportunity to provide or to decline to provide such further PII. However, declining to provide such PII sought may result in Users not being able to use such specific service of the Platform that required such additional PII.

3. USERS CONSENT

Users are providing Users consent by providing Users details at the time of registration or accessing the Platform or making service enquiry or receiving communication through their email ID from Mumbai Angels from time to time (“Consent”) with respect to the purpose of usage of such PII.

If Users give Users Consent, it is construed that Users have done so freely and voluntarily and agree to this Policy. Users always have the right to refuse or withdraw Users Consent for the PII sought to be collected or withdraw Users Consent given earlier to Mumbai Angels. Mumbai Angels will always respect such a refusal or withdrawal, but this could affect Users use of Platform andMumbai Angelsbeing unable to perform all the Services, arrangements or contracts with Users and will have the option to discontinue the same. Mumbai Angels will inform Users of these inabilities, if they occur. However, Mumbai Angels reserve the right to retain such PII as may be necessary for providing our pending Services to Users and in accordance with this Policy and/or if legally required.

  • • Users are aware of the:

  • • fact that the PII is being collected;

  • • contents and/or type of PII which is being collected;

  • • purpose for which the PII is being collected;

  • • intended recipients of the PII; and

  • • name and address of the agency/third party's/Partners that is collecting the PII or, processing the said PIIand retaining the same.

We respect Users privacy, therefore, Mumbai Angels will observe the following guidelines when collecting, receiving, possessing, using, processing, recording, storing, transferring, dealing, handling, and disclosing:

  • • PIIwill be collected, received, possessed, used, processed, recorded, stored, transferred, dealt, handled and disclosed in compliance with the local laws/regulations in India including IT Act and the rules framed under the same;

  • • PIIwill be relevant/necessary to/for the purposes for which it is collected and used;

  • • PII will be current and accurate with reasonable steps taken by Mumbai Angels to rectify or delete inaccurate PII;

  • • PIIwill be kept only as long as necessary for the purposes for which it was collected and processed; and

  • •Reasonable measures will be taken to prevent unauthorized access or use, unlawful processing, and unauthorized or accidental loss, destruction, or damage to such PII.

4. USE OF DATA ( INCLUDING PII) COLLECTED

  • We may use the information collected from Users in following ways:

  • I. To determine the best investment opportunity for the Users, depending upon the type of the User;

  • II. To personalize Users experience and provide content and service offerings that are best suited to Users interests;

  • III. To improve our website in order to serve Users better;

  • IV. To allow us to better respond to Users specific service requests;

  • V. To improve our service offering(s);

  • VI. To improve with better placement of advertisements;

5. BRIEF DESCRIPTION ON PROTECTION OF USERS/ VISITOR PII BY MUMBAI ANGELS

The following paragraph briefly describes the mechanisms put in place and practices implemented by Mumbai Angels to protect and maintain integrity and confidentiality of Users PII;

5.1. Mumbai Angelsshall, at all times, store Users PII in its cloud server storage ( operated by external vendor such as Google and Amazon) and to the best of Mumbai Angels knowledge We understands that our external cloud storage vendors shall make best endeavor to ensure that such PII is safely stored clouds storages and shall be used for the purpose of business transactions only and shall be further protected and secured in compliance with the reasonable security practices and procedures.

5.2. Mumbai Angels to ensure compliance with the requirements of the IT Act to ensure the protection and preservation of Users privacy, therefore Mumbai Angels takes reasonable security measures to protect Users PII against unauthorized access, alteration, disclosure or destruction.Mumbai Angels has a number of physical, electronic, and procedural safeguards/measures in place to actively protect the confidentiality, security, and integrity of Users PII, including a comprehensively documented information security programme and a strict security policy that contains managerial, technical, operational and physical security control measures for protecting such data or information. We have implemented standard or code of best practices for data or information protection.

5.3. Mumbai Angels limit access to Users PII to members of Mumbai Angels's team/employees /third party's service provider/Partners whoMumbai Angels believe reasonably need to come into contact with that information for the purpose of performing their duties and rendering services to the Users.Mumbai Angels have strict confidentiality obligations that apply to such members/employees of Mumbai Angels/third party's/Partners. Failure to meet these obligations may result in disciplinary and other actions, including dissolution of a contract, termination of employment and criminal prosecution.

5.4. Mumbai Angels conduct training to authorized users regarding the lawful and intended purposes of processing Users PII, the need to protect and keep information accurate and up-to-date and the need to maintain the confidentiality of the data or information to which such authorized users have access. Authorized Users will comply with this Policy, and Mumbai Angels will take appropriate disciplinary actions, in accordance with applicable laws in India, if Users PII is accessed, processed, or used in any way that is inconsistent with the requirements of this Policy.

5.5. Mumbai Angels regularly carries out security audit of its website and server storage mechanisms and any loopholes, bugs found there shall be removed and addressed.

6. DISCLOSURES OR TRANSFER OF USERS PII

6.1. Mumbai Angels will transfer, with Users Consent, the Personal Identifiable Information to any other third party in India or overseas on need to know basis, that ensures the same level of data protection that is adhered to by Mumbai Angels as set out herein for fulfilling any contractual obligation.

6.2. Mumbai Angels will disclose or transfer Users PII in accordance with this Policy and all applicable legal requirements as applicable in India.

6.3. UsersPII will be disclosed or transferred, as may be required from time to time, as follows:

  • 6.3.1. For Business Purposes: to (i) the appropriate employees/staff/persons in Mumbai Angels offices; (ii) Mumbai Angels affiliates and group companies; (iii) from one office within Mumbai Angels to another office in India or overseas in accordance with the IT Act; (iv) to any third party, in the event of a proposed or actual business transaction; (v) to Third Party Service Providers, (vi) certified third party verification agencies for the purpose due diligence; or (vii) Partners (other users such as investors/micro VS's) for the purpose of investment; or (vii) in connection with our business and Services provided by Mumbai Angels.

  • 6.3.2. To third party's: working with Mumbai Angels or on behalf in different industries and categories of business. Mumbai Angels will disclose, share, transfer Users PII to any third party or provide Users PII to any third party in connection with our business requirements or for the purposes indicated herein. Such third party's are required to process Users PII they receive from Mumbai Angels in a lawful, safe and responsible manner in accordance with this Policy and the prevailing laws and take all appropriate security and confidentiality measures such that they do not use Users PII for their own purposes or disclose Users PII to others. Neither Mumbai Angels nor any third party will publish Users PII.

  • 6.3.3. For Legal Requirement: to any court of law and/or government agencies/entity as may be required under law and/or statutory authority, Reserve Bank of India and Credit Information Bureau India Ltd. (“CIBIL”) or in response to a legal process, for the purpose of verification of identity, or for prevention, detection, investigation including cyber incidents, prosecution, and punishment of offences and/or to any third party by an order under the applicable law or if We determine it is necessary or desirable to comply with any applicable law, regulation, legal process or enforceable governmental request or to protect or defend our rights or property including compliance with accounting and tax rules and regulations or to investigate, detect, prevent, or take action regarding illegal activities, suspected fraud, security or technical issues or situations involving potential threats to the physical safety of any person.

6.4. However, any third party API linked to our Site shall be accessed by the Users at their own risk and responsibility and subject to privacy terms of such third party service provider or platform. Any information including PII disclosed to such third parties by the Users shall not be the responsibility of the Site and/or Mumbai Angelsand shall solely lie with such third party vendor and/or the Users.

7. PURGING OF PERSONAL DATA

Users personal data shall be stored with Mumbai Angels for a pre-determined period after Userscease to use or access our Platform as per the internal policies for data storage of Mumbai Angels and the same shall be eventually erased/ purged/removed from Mumbai Angels's storage as per relevant applicable policies ofMumbai Angels.

8. COOKIIE POLICY

Our Site may use cookies. By using our website and agreeing to these terms of use, Users consent to our use of cookies in accordance with the terms of our Privacy policy.

8.1. Help us remember and process the items that Users are looking for;

9.1. This Site may contain links to other websites of interest, operated by third parties other than Mumbai Angels. Such links are provided for Users convenience only. However, once Users have used these links to leave our site, Users should note that Mumbai Angels do not have any control over such third-party websites. Therefore, Mumbai Angels is not responsible for their contents or their practices of information protection and privacy which Users may provide while accessing such sites. Users are advised to exercise caution and look into the privacy norms and Terms of Use applicable to the website(s) in question. Mumbai Angels inclusion of links to such websites does not imply any endorsement of the material on such websites or any association with their operators.

9.2. Any information (“Third Party Information") accessed by the Users by accessing any third party website hyperlinked on the Site or any third party API plugged in to the Site , shall be the sole responsibility of such Users and such third party and neither Mumbai Angels nor its affiliates, holding or subsidiary or Group entities shall be liable in any way for any losses suffered by the Users arising out of decisions made on the basis of such Third Party Information. Mumbai Angels neither confirms nor denies the veracity of such Third Party Information.

9.3. Further since neither Mumbai Angels nor its group entities, holding or subsidiary entities, directors, officers, personnel are aware of the privacy practices of such third party websites, Mumbai Angels and all its affiliates and Group entities shall not be responsible for protection of integrity and confidentiality of any information including PII shared by the Users in such websites or in the process of accessing or registering with such websites including any cookies used by such websites on Users browsers. By agreeing to these terms of the Privacy Policy Users are expressly waiving any right of Users to claim any damages or otherwise any other legal or equitable remedy against Mumbai Angels, its group entities and affiliates including all its employees and personnel for any loss of data, information, disclosure of information including PII or any other losses (quantified, present, accrued or potential or otherwise) arising directly or indirectly due to Users use of such third party links, website or APIs.
